When equity is changing hands, we are in your corner.

When you already have a deal in hand and need someone to help walk you across the finish line, Punctuation has you covered. Whether selling to or buying from an outside company or an internal employee, we are well versed in the sale process from both sides of the table.

Why choose Punctuation?

You have a business to run and don’t have time to learn the M&A industry, for one. But more importantly, a second set of eyes and a perspective based on years of experience will always pay for itself in the long run.
We are creative problem solvers.
People come to deals with unique perspectives and needs, and we are adept at solving for each side’s priorities.
We know the industry.
We only work with independent marketing, creative and dev shops like yours. We’ve been doing this for 20+ years and know how to structure deals that make sense for both parties.
We shoot straight.
If we don’t think you should do a deal, we’ll tell you, and we’ll tell you why. We truly want the best outcome for you.

Our approach.

Every situation is unique, and we tailor our approach accordingly. Each engagement begins with interviews of those involved to understand the situation and develop an approach. Though each engagement is unique, we pull from a common set of tools, outlined below. Everything is included in our flat fee.
  • Valuation
  • Offer Review (if this is all you need, we can also break this into a standalone $5,000 service for you)
  • Stakeholder interviews
  • Stakeholder personality profiles
  • Stakeholder surveys
  • Negotiation
  • LOI Review
  • Deal Memo creation
  • Materials review

Logistical matters,
for your perusal

1-3 months, depending on complexity
An M&A Advisory package can usually be underway within 1-2 weeks, depending on the time of year.
All buyers/sellers of equity must participate willingly in all aspects of the process. Typically this will require 2 hours of work compiling materials at the outset. From there, participation varies based on approach.

You will also need legal and accounting help throughout the process, as we are neither lawyers nor CPAs. We can recommend firms if you don’t have relationships already.
$20,000 flat fee. An Offer Review can be purchased separately for $5,000, and if an offer moves forward, that amount can be credited towards a full M&A Advisory engagement.
Payment Terms.
Prepaid and non-refundable. Via wire, ACH, check, or credit card (+3%).
